1.1

The App is issued by SciTrader Limited. SciTrader Limited is a limited company incorporated in England and Wales, company number: 13612144 registered office 16 Beaufort Court, Admirals Way, Docklands, London, E14 9XL.
1.3
The production of the App and the technology systems required to operate the App are provided by SciTrader Limited.
1.4
The Agreement will commence on the Commencement Date and will terminate in accordance with clause 6.
1.5
2.1
We provide a cryptocurrency watchlist and charts application, which can be accessed via a mobile and/or Web-based application, where You can:
a)
view charts and graphs of Cryptocurrencies and crypto assets with price data provided by third party data-feeds;
b)
browse Cryptoassets to find strong or weak performers as part of your cryptocurrency trading research;
2.2
SciTrader does not provide brokerage services, Cryptoasset wallet or custody services. All such services
are provided by third party Exchanges which are wholly separate and not affiliated with SciTrader.
2.3
Technical indicators, analysis and watchlists do not constitute financial advice and all investment decisions made outside of the SciTrader app are placed are at Your own risk. We shall not be liable for the any investment decisions or trades placed by You when accessing our services.
2.4
Nothing in the SciTrader app should constitute financial advice and all indicators, signals or notifications are for educational purposes only.
3.1
SciTrader does not provide trading services, wallet services or exchange services. SciTrader is not a trading application and is not subject to financial regulation requirements in various countries.
4.1
We do not provide personalised investment recommendations, financial or tax related advice. Any explanation or information which We give to You as part of a the performance of the crypto asset is not intended to be and should not be considered as advice.
4.2
The SciTrader platform is not an exchange or a market.
4.3
The terms of this Agreement constitute and create legal, valid and binding obligations on You which are enforceable in accordance with their terms and do not constitute a breach of any obligations by which You are bound whether arising by contract, operation of law or otherwise.
4.4
Our Services may not be available in certain countries (“Blocked Country”). If You are travelling to a Blocked Country, You may not have access to Your SciTrader account or any of our Services. This restriction applies even if You do not normally reside in the Blocked Country. We are not liable for any loss which results from Your inability to access the SciTrader platform because You are in a Blocked Country, or if caused by circumstances outside of Our control.
5.1
The risk of using our Services, is limited to technological failure of the app in providing incorrect price data. Since there are no trading activities carried out through the SciTrader App, You are responsible for checking accurate price data and movements before You place trades or investments on third party Exchanges or Brokerages.
5.2
For more info about limitation of liability see clause 9.
6.1
We may terminate this Agreement without notice to You:
a) if You breach an important part of this Agreement or use the App in a manner that We reasonably believe is fraudulent or unlawful; or
b) if You act in a manner that is threatening or abusive to Our staff, or any of Our representatives.
6.2
You may terminate the Agreement at any time free of charge by contacting Us using the contact details detailed on clause 8 of Part 1.
6.3
If the Agreement terminates, We will cancel Your account.
7.1
There may be instances where Your interests conflict with our interests, or with another client’s interests. For example:
a) We may provide, pay or receive fees, commissions or non-monetary benefits where such payments are permitted by Applicable Law.
8.1
Our Customer Services team can normally be contacted 24 hours a day, 7 days a Week. However, outside normal business opening hours contact may be restricted to automated answering systems. We will endeavour to resolve all enquiries immediately, however, please note that certain types of enquiries can only be resolved during normal business opening hours.

8.2
If We need to contact You or send You a notification under this Agreement, We will do so by either sending You a notification in Your Online Account Centre or by sending You an email to the email address You provided Us with when You obtained the App, unless stated otherwise in the Agreement.
8.3
Our business opening hours are Monday to Friday, 9am to 5pm UTC. Correspondence received after the close of business on a particular day or on a non-Business Day will be treated as having arrived on the following Business Day.
8.4
If You are not satisfied with any element of the service You receive, any complaints should be made to Our Customer Services team using the contact details in clause 8.1 above.
8.4
We do everything We can to make sure You receive the best possible service. However, if You are not happy with how Your complaint has been managed by Our Customer Services team and You wish to escalate Your complaint, You should contact SciChart Limited in the first instance for further assistance.
9.1
None of the organisations described in clause 1.2 and 1.3 of Part 1 will be liable for:
a) any fault or failure relating to the use of the App that is a result of abnormal and unforeseeable circumstances beyond Our control which would have been unavoidable despite all Our efforts to the contrary, including but not limited to, a fault in or failure of data processing systems;
b) any loss of profits, loss of business, or any indirect, consequential, special, or punitive losses;
c) any acts or omissions that are a consequence of Our compliance with any Applicable Law; or
d) You fraudulently performing trading in third party Exchange/s against any Applicable Law.
9.2
Nothing in this Agreement shall exclude or limit any regulatory responsibilities We have which We are not permitted to exclude or limit, or Our liability for death or personal injury.
9.3
If You have used Your App fraudulently, in a manner that does not comply with this Agreement, for illegal purposes, or if You have allowed Your details to be compromised due to Your gross negligence, You will be held responsible for the use and misuse of the App. We will take all reasonable and necessary steps to recover any loss from You, and there shall be no maximum limit to Your liability except where relevant laws or regulations impose such a limit. This means You should take care of Your App and details and act responsibly, or You will be held liable.
10.1
We may post information such as news, headlines, graphs, links to other websites, newsletters, market prices for different products in real time or on a delayed basis, opening and closing market prices and ranges on third party Exchanges, the highest and lowest market price on third party exchanges, the estimated and actual market volumes and the size, number and existence of current market bids and offers on a given day, on third party Exchanges (We call this “Market Data”).
10.2
Market Data may be produced by a third party (for example financial information service providers) which We pass on to You. In this scenario the Market Data belongs to the third party (as applicable) and You agree to
(a) comply with all the laws, rules and regulations applicable to access or using the Market Data;
(b) using the Market Data only for Your own purposes; and
(c) cease any use of Market Data upon termination of this Agreement for any reason.
We will enter into appropriate Agreements with the relevant third parties on Your behalf relating to the proper use of Your Market Data.
10.3
We, or the relevant third parties, which provide Market Data, do not guarantee that the Market Data We provide is always accurate, correct, or up to date although We will take reasonable steps to ensure that it is. Importantly, Market Data is not financial advice and We are not responsible or liable for any action which You take or do not take based on such Market Data. If You want to use the information to help You with Your own investment decisions, You do this at Your own risk.
10.4
You must not share information which We have posted outside of SciTrader. In particular, You should not redistribute the prices We make available to You to any other person whether such redistribution be for commercial or other purposes.
11.1
We collect certain information about You in order to operate the App. Your personal data will be managed and protected in accordance with the applicable European data protection laws.
11.2
Unless You have provided Your explicit permission, Your personal data will not be used for marketing purposes by Us, nor will it be shared with third parties unconnected with the App.
11.3
You have the right to request details of the personal information that is held about You, and You may receive this by writing to Us. Where legally permitted, We may charge for this service.
11.4
Please refer to the Privacy Policy of SciChart Ltd limited at https://www.scitrader.io/privacypolicy/ for full details, which You accept by accepting this Agreement.
12.1
We may assign the benefit and burden of this Agreement to another company at any time by giving You 2 months’ notice of this. If We do this, Your rights will not be affected. You will indicate Agreement to the assignment by the continued use of the App following the 2 months’ notice period. If You do not agree to the assignment, You may cancel the Agreement without penalty
13.1
.If any term or provision in the Agreement shall be held to be illegal or unenforceable, in whole or in part, under any enactment or rule of law, such term or provision or part shall to that extent be deemed not to form part of the Agreement but the validity and enforceability of the remainder of the Agreement shall not be affected.
